providing you're using the same or a newer mysql server on your new system, you just need to copy the whole data directory of your mysql installation. copying the files is sufficient, but do not change the filenames nor directory structure in itself.
in case you're switching from 3.x to 4.0.x, you should also run the given scripts over your new database, to get the new privileges. this is documented anywhere in the mysql-doc under 'updating'.
