Using WindowsXP, you cannot format a FAT32 partition larger than 32GB. Windows will work with much larger FAT32 partitions, and I have one of 70GB which I share between several Linux distros and WindowsXP. I used a basic DOS boot-disk to format it. It shows in all Linux distros as vfat, and I can read/write with no problems.
I don't know about Vista, but the restriction in XP was to encourage the use of NTFS.
