When LILO is used to load an operating system, for any non-Linux
this is comparable to the load function performed by the BIOS: The
bootstrap loader will be overlayed by the actual OS and hence has
neither control over the OS nor is used to shut down the OS.
Look at Microsoft's knowledge base for various reasons of system
hang during shut down.

There could be serveral reasons for that:
Overlapping partitions. Some partioning tools make partitions that
always start and end on complete cylinders, other tools such as fdisk
from DOS or Windows 9x can generate partitions of any size. Using two
different partitioning tools require a close look at what these do.
A long time ago I used fdisk from a Linux package interchangeably with
that of Windows 98 and got overlapping partitions, resulting in a
complete disk size of -50 MB.
While Linux ran fine, Win 98 reported an additional partition while
one of the primary partitions were reported unusable. All disk drivers
ran in compatibility mode - anything else was fine.
Another reason for disk problems was a bad RAM. That gave strange
error messages, files not found / corrupted files / overlapping
files and such. When I tried to install Win 98 over the defective
Win 98 setup ended with blue screens. Booting in save mode failed
due to memory error reported by highmem.sys - which was correct.
