I'm running similar hardware on a Toshiba laptop:

440ZX + PIIX, but with Xircom RBE-100 CardBus NIC, no problems with
2.4.latest or 2.6.latest.
Are there no hints in the logs? dmesg? dhcp client?
Sorry I don't remember what changed 2.6.11 -> 2.6.12 in this area.
