upgrading RH 8.0 -> FC 2

Hello all,
Ok, I'm about to upgrade my RH 8.0 system to Fedora FC2. Are there any
known issues with performing a straight upgrade? I'd like to just lay
it on top of my existing rh system. I will backup my critical
configuration files and personal files just in case, but are there any
watch outs?
Also, would there be any benefit to upgrading to RH Enterprise ES
instead of Fedora? I know RHEL is maintained and supported by RH, but
I've been with the open source stuff for almost 10 years now, I have
no problems with it, but does anyone know if there is anything
specific with RHEL that is not in FC that one can benefit from?
