RHEL 4 U2 bootup kernel panic

Hi,
I am trying to bring up RHEL 4 U2 on one of the proprietry and getting the following error message while booting up the kernel (2.6.9).
I am using the rpms from the RHEL 4 U2 Cds. I am only installing a select set of rpms. However I have taken care of all the rpm dependencies.
Wondering if anyone has a clue about what could be wrong.
