Something may have gone astray with your upgrade, as i did the exact
same one recently.

Confirm this for us:

In /boot, you have a new file like the following named:
   -rw-r--r-- 1 root root initrd-2.4.20-20.9.img

Make sure there is an entry for this file in your grub.conf also.

It seems from your errors there is some problem with the new ramdisk.

If that is not it, you could uninstall the new kernel rpm, and either
try the update process again, or download it and try to install it
manually. You can set up2date to just download without installing, use
up2date --configure to do this. Then just the rpm will be left in
/var/spool/up2date
