Upgrading RH 9 to RHEL 3: problems? gotchas? what are your experiences?

Hi all. I have a couple of servers running RHL9 and now am getting around
to thinking about buying RHEL ES 3 entitlements (or whatever Red Hat calls
licenses these days). So, here are my questions for you, the Red Hat
Linux Community:
* Should I /Upgrade/ or do a /Clean Install/ of RHEL?
* What are the concerns regarding upgrading?
NOTE: I am using only RHL9 RPMs with one major exception -- my Apache/PHP
server, which I installed from source. My understanding is that in using
only Red Hat RPMs I am going to have a happier upgrade than if I had
hacked in all sorts of disparate software.
* Will I have to recompile my Apache/PHP server? (i.e. is there binary
compatibility between RHL9 and RHEL ES 3?) (This may be a moot point as I
am going to recompile/reinstall Apache soon anyways!)
* Does RHEL ES have up2date as a command-line client??? I can't seem to
get a staight answer (or ANY answer, actually) from Red Hat sales. The
marketing goo-gah on the Red Hat website goes on and on about the modules
-- update, management, and provisioning -- but they are all GUI clients!
That is just not gonna work for me.
Please, if you have any experience in upgrading a system from RHL9 (or 8,
or 7, even!) to RHEL 3, let me know how it went, what you did right, and
what you did wrong.
